	DIGITAL HEALTHCARE LTD SERVICE SUBSCRIPTION AGREEMENT This Service Subscription Agreement (the “Agreement”), effective as of 5/10/2008(the “Effective Date”), is by and between Digital Healthcare Ltd with offices located at 4, Crome Lea Business Park, Madingley Road, Cambridge, CB23 7PH (“DH”) and you, the “Subscriber”). 1.0 Introduction. DH has developed a subscription service as described herein (the “Service”) which utilizes specified hardware and DH proprietary software, and the services of third party image reviewers (the “Reading Centres”) to enable suitably qualified professionals to capture ocular images of patients and transmit such images through DH’s secure network to a Reading Centre for evaluation according to nationally recognized criteria and report. A current list of Reading Centres is attached as Annex x) and is subject to change from time to time. Subscriber is a professional organization or practitioner providing retinal diagnostic and other optical services to patients. Subscriber and DH (the “Parties”) desire for DH to provide Services to Subscriber under the terms set forth herein. Subscriber shall at its own cost cooperate fully with DH and promptly supply to DH free of charge all information, assistance, materials and resources reasonably required by DH to perform the Services. 2.0 Service Implementation and Requirements. 2.1 Hardware and Software. (a) The Subscriber shall provide to DH (for the purpose of the Software as defined below) or purchase from DH or its designee a fundus camera (the “Camera”) and a suitable personal computer (“PC”), which are compatible with the DH proprietary software (the “Software”). The specification for the Camera and PC (collectively, “Hardware”) is set out in Attachment A. (b) If DH is the supplier of the Hardware, the purchase price for the Hardware shall be as set forth in Attachment A. Subscriber may alternatively elect to finance the purchase of Hardware through a written lease agreement with a third party authorized in writing by DH. (c) DH shall install the Software on the PC at no additional charge to Subscriber. In consideration of the payments made in accordance with this Agreement, DH grants to Subscriber a revocable non-exclusive, royalty-free, personal, non-transferable non-sublicensable license during the term of this Agreement to allow its Users (as defined in 2.3(b) below) to use the Software only on the PC on which it is installed by DH and only in connection with the Service. Subscriber shall not, and shall ensure that its Users do not, copy, reverse engineer, decompile or disassemble the Software or use it for any purposes other than those expressly authorized herein, save to the extent that such acts cannot lawfully be prohibited. (d) Subscriber shall be solely responsible to purchase, install and maintain on the PC up-to-date commercially available third-party virus protection software and any other third-party software specified in Attachment A and to comply with all license terms applicable thereto. Subscriber shall not install or run any other software on the PC without DH’s prior written consent. DH reserves the right to audit, from time to time, Subscriber’s PC and installed software to ensure the minimum requirements are met and maintained. 2.2 Internet Connection. Subscriber shall have sole responsibility for contracting for, installing, and maintaining during the term of this Agreement an Internet connection which meets the specifications set forth in Attachment A (“Internet Connection”) which will enable the retinal images taken by Subscriber of its patients using the Camera (“Images”) to be transmitted from the PC via the Internet to the DH Network (as defined in Sec. 2.3(c)), and for Evaluations (as defined in Sec.2.3(d)) to be received by the PC. The Internet Connection shall be established by the date set forth in the schedule in Attachment B. 2.3 Service. During the term of this Agreement, in consideration of the payments set forth in Section 3 and Subscriber’s compliance with the provisions herein, DH shall provide the Service as follows: (a) [As part of the Sign-Up Fee] DH shall install or arrange for the installation of the Software (and, where DH is supplying the Hardware as well, shall arrange for the installation of the Hardware) at Subscriber’s facility. (b) Pursuant to the schedule in Attachment B and at no additional charge [other than the Sign-up Fee], DH shall provide initial training to Subscriber’s personnel who are authorized by Subscriber in writing to DH (“Users”) in the use of the Hardware and Software as they relate to the Services and in the Service procedures. Additional training requested by Subscriber shall be at the hourly rates set forth in Attachment C. Subscriber shall allow only Users who have received proper training to utilize the Software and DH Network, and shall allow access only through passwords which comply with password requirements provided by DH. Subscriber shall protect, and ensure that its Users protect, the confidentiality of User passwords. (c) Users shall use the Camera to capture Images, which Images shall be automatically transmitted from the Camera to the PC. After reviewing the Image to ensure that it is sufficiently clear to reasonably enable a third party to make the Evaluation (as defined in paragraph (d)), the User shall transmit the Image via the Internet Connection through a secure network maintained by DH as specified in Attachment A (the “DH Network”) to a Reading Centre selected at its sole option by DH. If the Reading Centre determines that the Image quality is poor, Subscriber will be notified that the picture must be re-taken and a new Image must be submitted at additional charge to Subscriber. (d) DH shall use all reasonable endeavours to procure that the Reading Centre shall review the Image and report back to the Subscriber (not the User) within an average of 72 hours after the Subscriber submitted the Image to the DH Network/ or / from the time Reading Centre received the Image] its recommendation as to whether or not, based solely on such Image, the patient should be referred to an ophthalmologist (the “Evaluation”). DH shall use all reasonable endeavours to procure that the Reading Centre shall transmit its Evaluation over the DH Network to Subscriber using the nationally-used grading standards set out in Attachment D and on one of the standard forms set forth in Attachment E. Subscriber shall be solely responsible for downloading the Reading Centre’s Evaluation and transmitting the information therein to its patients. 2.4 Support. DH will provide technical support on the [Camera/Hardware/Software] on the terms set forth in Attachment F. DH shall not be responsible for technical support, or liable for breaches of warranty, for issues caused by any third party hardware, software or connections, including the Internet Connection, by Subscriber’s failure to maintain the most up-to-date anti-virus software, or Subscriber’s failure to follow procedures. 2.5 Trademarks and Publicity (a) Subscriber shall, in the provision of services for third parties, indicate that the Software is the DH “Retasure” software. DH hereby grants the Subscriber a revocable, nonexclusive, non-transferable non-sublicensable royalty-free licence to use its registered or unregistered and trademarks and trademark applications to perform its services to third parties in a manner to be first agreed in writing with DH in each case.. (b) DH may, for its own promotional purposes, on its website or otherwise in any promotional material, list Subscriber as its client and describe in general terms what it has provided to Subscriber under this Agreement, and provide contact details of Subscriber and the services providers. DH will remove Subscriber’s contact details from its website within 30 days of termination or expiry of this Agreement. 3.0 Payment. Subscriber shall pay DH for the Services as set forth in Attachment C. DH shall invoice Subscriber on a [monthly] basis for the total number of [set of patient images transmitted by Subscriber over the DH Network] during such period. Subscriber shall pay the full invoiced amount within thirty (30) days of the date of the invoice. DH shall have the right to assess a late payment fee before and after judgment of 8%per annum above the base rate of Barclays Bank Plc from time to time calculated annually but accruing on a daily basis, on any past due balance. DH reserves the right to suspend Services upon [five (5) days written notice to Subscriber] until payment of overdue amounts is made in full, if payment in full has not been received 30 days after the due date, DH may terminate this Agreement on written notice to Subscriber with immediate effect. 4.0 Warranties. 4.1 DH Warranties. DH warrants to Subscriber: (a) That the Service will function during the term of this Agreement substantially in accordance with the Service specifications attached hereto as Attachment A (“Service Specifications”), or such other Service specifications provided to Subscriber by DH from time to time. Subscriber shall promptly notify DH in writing (which may be by email) of the details of any non-conformance to such Service Specifications, and DH shall use commercially reasonable efforts at DH’s option to correct or re-perform any Services to remedy such non-conformance of which it is so notified at no charge to Subscriber. If, on investigation of an alleged breach of this warranty, DH finds that there has been no such breach then DH shall be entitled to charge the Subscriber a fair and reasonable amount for carrying out such investigation. The warranty shall not apply to and DH shall have no liability for any non-conformance arising out of any use of the Software or Hardware other than in accordance with the specification, any use if the Software or Hardware other than by suitably trained and qualified personnel, any failure of any third party software, hardware or systems, the use of the Software integrated or interfaced with software or hardware not first authorized in writing by DH, any continued use of the Software or Hardware after they exhibit any signs of defect or malfunction, or any error by the Reading Centre. (b) That it has, and will have during the term of this Agreement, all necessary rights to enter into and perform its obligations under this Agreement and to provide the Service as set forth in this Agreement, and that the Service shall be performed in accordance with all applicable laws and regulations. 4.2 Subscriber Warranties. Subscriber warrants to DH: (a) That it has, and will have during the term of this Agreement, all necessary rights, title and license to enter into and perform its obligations under this Agreement, including the rights to use all equipment, software, and connections, including the Internet Connection. (b) That it will comply with all applicable laws regulations, and ethical guidelines as well as Subscriber’s clinical, professional and ethical standards, policies and procedures, and industry standards, as they relate to individuals whose Images are captured using the Camera and that it has all necessary rights and consents from individuals whose Images are transmitted over the DH Network for the purposes set forth herein and that it will comply with all applicable laws and regulations, including without limitation the Data Protection Act (1998) and all other applicable privacy protection legislation. (c) That it will maintain the most up-to-date commercially available anti-virus software on the PC during the term of this Agreement and will comply with all third party software licenses. (a) (d) That it will, during the term of this Agreement, carry professional indemnity insurance to cover its potential liabilities to DH under this Agreement. 4.3 Disclaimers. Subscriber acknowledges that factors beyond the reasonable control of DH, including without limitation, poor Image quality, non-conformance with Service procedures by Subscriber or its personnel, or software, hardware, services or connections supplied by third parties, may have a material impact on the accuracy, reliability and/or timeliness of the Evaluation or the compliance of the Services with the Service Specifications. DH has selected the Reading Centres in good faith but Subscriber further acknowledges that DH is not responsible for any content of the Evaluations provided by third party Reviewers. Notwithstanding any contrary provisions of this Agreement, in no event shall DH be responsible for any non-conformities, defects, errors, or delays caused by factors beyond the reasonable control of DH. THE WARRANTIES EXPRESSLY SET FORTH IN SECTIONS 4.1 AND 4.2 ARE THE ONLY WARRANTIES GIVEN BY EITHER PARTY IN CONNECTION WITH THIS AGREEMENT, AND NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE AND FITNESS FOR A PARTICULAR PURPOSE, WILL APPLY. 4.4. Indemnification. The Subscriber shall indemnify DH against all losses, damages, claims and expenses arising out of the Subscriber’s use of the Service.. 5.0 Intellectual Property. Subscriber acknowledges and agrees that, save as provided in clauses 2.1(c), 2.3(d) and 2.5(a), DH exclusively owns all rights to the Software, the DH Network, the Service, all materials, content and documentation provided by DH, and all derivatives to and intellectual property rights in any of the foregoing, including without limitation, patents, trademarks, copyrights, and trade secrets. Subscriber shall promptly advise DH of any possible infringement of which Subscriber becomes aware of concerning the foregoing. DH acknowledges and agrees that, as between the parties, Subscriber owns all Images and data submitted by Subscriber or its personnel to DH or the DH Network. 6.0 Confidentiality. Each Party agrees: (a) that it will not disclose to any third party or use any confidential or proprietary information disclosed to it by the other Party (collectively, “Confidential Information”) except as necessary for performance or use of the Services or as expressly permitted in this Agreement; and (b) that it will take all reasonable measures to maintain the confidentiality of all Confidential Information of the other Party in its possession or control, which will in no event be less than the measures it uses to maintain the confidentiality of its own information of similar importance. “Confidential Information” shall include all non-public information of either Party disclosed hereunder, including without limitation, the Software, technical information, know-how, methodology, information relating to either Party’s business, including financial, promotional, sales, pricing, customer, supplier, personnel, and patient information. will not include information that: (i) is in or enters the public domain without breach of this Agreement; (ii) the receiving Party lawfully receives from a third party without restriction on disclosure and without breach of a nondisclosure obligation; (iii) the receiving Party knew prior to receiving such information for the disclosing Party; or (iv) develops independently without use of or resort to the other Party’s Confidential Information. Subscriber consents in advance to the use of Subscriber’s name and logo as a customer reference in DH marketing materials and other promotional efforts in connection with the Service. 7.0 Term and Termination. This Agreement shall be in effect for an initial term of three months beginning on the Effective Date (the Initial Period). During the Initial Period, this Agreement may be terminated by either Party upon thirty (30) days’ written notice. The term of this Agreement shall automatically renew for subsequent one-year periods unless either Party notifies the other in writing at least [sixty (60)] days prior to the end of the then-current term of its intent not to renew. Notwithstanding the foregoing, this Agreement may be terminated by either Party upon thirty (30) days’ written notice if the other Party materially breaches the Agreement and fails to cure such breach during the notice period. In this context, a material breach by Subscriber includes (without limitation) a breach of any of clauses 2.5(a), 3, 4.2 and 6.Upon termination or expiration of this Agreement, Subscriber shall pay DH all amounts incurred for Services performed prior to the effective date of termination, the licence granted in Clause 2.1(c) shall expire on any termination or expiry of this Agreement and the Subscriber shall promptly at the Subscriber’s risk and expense return the Hardware to DH and remove the Software from the PC and confirm to DH in writing that it has done so. 8.0 Limitation of Liability. 8.1 SUBJECT TO CLAUSE 8.2, IN NO EVENT WILL DH BE LIABLE FOR ANY DAMAGES FOR LOSS OF USE, LOST PROFITS, BUSINESS LOSS OR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHETHER OR NOT SUBSCRIBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL DH’S LIABILITY IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES EXCEED THE SERVICE FEES PAID TO DH BY SUBSCRIBER PURSUANT TO THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE THE CLAIM AROSE. 8.2 NEITHER PARTY EXCLUDES OR LIMITS ITS LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM ITS NEGLIGENCE OR IN ANY OTHER MANNER PRECLUDED BY LAW. 9.0 General Provisions. 9.1 Assignment. Subscriber may not assign or sub-contract this Agreement, in whole or in part, without DH’s prior written consent. Any attempt by Subscriber to assign this Agreement other than as permitted above will be null and void. DH may freely sub-contract or assign this Agreement. 9.2 Force Majeure. DH will not be responsible for any failure to perform due to causes beyond its reasonable control, including, but not limited to, acts of God, war, riot, failure of electrical, Internet or telecommunications service, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, or fuel crises. 9.3 Arbitration and Governing Law. This Agreement will be governed by and construed in accordance with the laws of England and Wales and the parties shall submit to the exclusive jurisdiction of the English courts, in respect of any dispute arising out of or in connection with this Agreement. 9.4 Notice. Any notice under this Agreement will be in writing and delivered by personal delivery, overnight courier, or certified or registered mail, return receipt requested, and will be deemed given upon personal delivery if delivered by courier, or, two (2) business days after posting by first class post if delivered by post. l. Notices will be sent to a Party at its address stated in this Agreement, and in the case of Subscriber, to the attention of [_______], and in the case of DH, to the attention of [_______], or such other address or designee provided in writing by Party. 9.5 No Agency. The Parties are independent contractors and will have no power or authority to assume or create any obligation or responsibility on behalf of each other. This Agreement will not be construed to create or imply any partnership, agency, or joint venture. 9.6 Waiver. No failure or delay by any Party in exercising any right, power, or remedy under this Agreement, except as specifically provided herein, shall operate as any waiver of any such right, power, or remedy. 9.7 Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable for any reason, the remaining provisions will continue in full force and effect without being impaired or invalidated in any way. The Parties agree to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision. 9.8 Survival. The following provisions shall survive any termination or expiration of this Agreement: Clauses 3, 4.4, and 5 through 9. 9.10 Entire Agreement. This Agreement, and the Attachments hereto which are hereby incorporated by reference, constitute the complete and exclusive agreement between the Parties with respect to the subject matter hereof, superseding any prior agreements and communications (both written and oral) regarding such subject matter. This Agreement may only be modified, or any rights under it waived, by mutual agreement in writing of both Parties. An internet connection which permits incoming/outgoing traffic on port 80 (HTTP) and port 443 (SSL) 2. A fixed internal IP address on your LAN. 3. The DNS, Gateway, and Subnet addresses for TCP/IP configuration on your LAN. 6. Make sure there is a network connection in the location where you plan on having the camera and workstation setup. We would like this connection verified by taking a computer/laptop into that room and putting it on the Internet before our arrival for installation. On-site remedial maintenance shall consist of repair or replacement, at DH’s sole discretion, of such parts or other materials required to maintain the Hardware in good working order. (e) DH shall not be responsible for technical support, or liable for breaches of warranty, for issues caused by any third party hardware, software or connections, including the Internet Connection, by Subscriber’s failure to maintain the most up-to-date anti-virus software, or Subscriber’s failure to follow procedures.
