CAMBRIDGE and LONDON, May 24th 2011 - Digital Healthcare and Orion Imaging, both providers of management software to the UK's diabetic retinopathy screening programmes announced today their intention to merge.

Digital Healthcare and Orion Imaging strongly believe that a merger will create an opportunity to build on their respective strengths and to deliver many of the requirements for improvement that were recently outlined in the consultation paper “Software Improvement Project” by the English National Screening Programme for Diabetic Retinopathy (ENSPDR).

Through a merger Digital Healthcare and Orion Imaging will be able to work in partnership with the ENSPDR and their respective customers to provide a best of breed software solution that will deliver value for money along with local, regional and national benefits.

Kevin McDonnell, Managing Director of Digital Healthcare said “We are excited about responding to the requirements of diabetic retinopathy screening programmes and the ENSPDR and whilst there is clearly a lot of work to be done, the opportunity to combine our strengths with those of Orion Imaging and to provide a best of breed software solution to our combined user bases will deliver many if not all of the benefits that the ENSPDR aspires to achieve”.

Tony Pegg, CEO of Orion said, “This is an ideal opportunity to take a radical and pro-active step towards delivering the vision described in the ENSPDR’s consultative paper. Together, Orion Imaging and Digital Healthcare can lower costs of delivery and simultaneously raise the quality standard thus benefiting the stakeholders involved in diabetic retinopathy screening. It is a real win-win opportunity. This merger will offer an economically viable way to deliver many of the goals being set by the ENSPDR”.

The merged business will also focus on further development of the Orion EyeCap business and its partner relationship with Haag-Streit.

It is anticipated that due process for completion of the merger will take approximately ten weeks and the joint company will have a combined revenue of circa £4 Million.
